In the event you decide to advertise the sale of your vehicle(s) through our Site you must agree to our Vehicle Advertising Terms and Conditions for Private Sellers (“Vehicle Terms & Conditions”) which are set out herein.

If any provision of these Vehicle Terms & Conditions becomes invalid, illegal or unenforceable in any respect it shall not affect the validity and enforceability of the remaining provisions. Any delay or failure by us to enforce any provision of these Vehicle Terms & Conditions will not be deemed a waiver unless it is in writing and signed by us.

• Agent(s) means any individual who is acting on behalf of another individual, group, entity or others, as the case may be.

• Application Form means an online application form containing specifications of your vehicle and your listing required for placing your vehicle advertisement on our Site.

• Licensed Dealer(s) means any retailer authorized to advertise and sell directly to the consumer on behalf of the manufacturer or distributor, as the case may be.

• Private Seller(s) means any individual who is over 18 years of age who is a legal owner of his/her vehicle.

• Site means Internet website located at http://www.carsaki.com and owned by Carsaki FZCO (“Carsaki”) which offers adverting services as well as services and products from third party providers related to automotive industry.

• References to “we”, “our” or “us” (or similar) are references to Carsaki and any references to “user” or “you” (or similar) are references to you as an individual or legal entity as the case may be.

There are certain criteria you must meet to be eligible to place your vehicle ad on our Site, which is set out below:

• You must be 18 years of age or over;

• You must have an existing membership/account on our Site;

• You must be a Private Seller only and not an Agent or Licensed Dealer.

If you meet the above listed criteria and still wish to proceed with placing your vehicle ad on our Site, you must complete and submit the Application Form.

While completing the Application Form please follow the specific vehicle ad placement guidelines and instructions that are indicated below:

• Advertise a vehicle located only in the local UAE market;

• Provide accurate vehicle description along with all technical information and specifications;

• Provide up to date true photographs of the vehicle;

• Ensure that vehicle number is not visible in the pictures;

• Provide your local UAE contact number only (international numbers not acceptable);

• Ensure that the vehicle ad is placed in the correct ad category;

• Ensure that the vehicle ad contains details of one vehicle only (multiple vehicles not acceptable in a single ad);

• Ensure that vehicle ad does not infringe intellectual property rights of any third party;

• Pay any applicable advertising fee.

In addition to the above please ensure that your Application Form DOES NOT contain any of the following:

• Offers or referrals to other services;

• References or links to other websites;

• Misleading or false information / pictures to draw interest to the vehicle;

• Any information that may reflect negatively on us;

• Any information that can be interpreted to be illegal, fraudulent, offensive, defamatory, or in any way unsuitable for minors;

• Any information that may infringe any rules and / or regulations and / or is not in compliance with the UAE laws;

Note: In the event you do not hold ownership rights to some of the material you wish to include in your vehicle advertisement(for instance vehicle photos) you must obtain written permission from the owner of those materials prior to placing the vehicle add. By submitting the vehicle ad for publication on our Site you declare that you have obtained all the necessary authorizations to do so and you further license us to publish the ad with all the material contained in it.

To ensure that our Site has only relevant and updated vehicle advertisements we request to immediately remove your vehicle ad in the event the vehicle has been sold or withdrawn from sale.

Once you have submitted the Application Form to us for review please note that you will not be able to cancel it while it is still pending approval. If you wish to cancel your vehicle ad then you must wait for your ad placement to be approved post which you may withdraw your vehicle ad at your discretion.

If your vehicle ad has been accepted, we will publish it on our Site listing all the information and pictures as indicated in the Application Form and in accordance with these Vehicle Terms & Conditions.

Once your vehicle ad has been published on our Site you agree and acknowledge the following:

• Publication of the vehicle ad does not create any agency relationship between you and us;

• Publication of the vehicle ad does not provide any representation, warranty or guarantee that your vehicle will be sold;

• Publication of the vehicle ad may be placed at other websites and / or any social media platforms;

• We may in our absolute discretion and without notice make any amendments to the vehicle ad that we deem necessary, refuse to publish or withdraw your vehicle ad altogether if:

o We find it to be in breach of the Vehicle Terms & Conditions, or

o You have not logged in to your account for more than 21 days, or

o We determine that that such refusal, withdrawal or termination is appropriate.

If applicable, you must pay the advertising fee at the rate and in the manner indicated in the Application Form.

By submitting the Application Form for vehicle ad placement, you authorize us and our payment gateway provider, to process your credit/debit card details and collect the payment.

In the event you are in breach of these Vehicle Terms & Conditions we may refuse to publish, or we may withdraw your vehicle ad and you will not be entitled to a refund or credit of the advertising fee.

Intellectual Property Rights

By submitting the Application Form for publication of your advertisement you hereby grant us all rights, including copyright, in the content of any material and/or photographs of your vehicle displayed on the Site. You further grant us permission to copy, redistribute, reproduce, download, republish, display, amend or otherwise any of the contents of your vehicle ad.

Please however note that any marks of third parties are owned or licensed by those third parties and nothing within these Vehicle Terms & Conditions confers on you and/ or us any right under any trademarks, logos or otherwise.

You represent and warrant to us that:

• You are the legal owner of the vehicle and you have the right to advertise and sell it;

• You are allowed to publish the ad and the material contained therein and are not in breach of intellectual property rights of any third party;

• You have provided true and accurate information in the vehicle ad.

You shall at all times indemnify us and our officers, members, directors, shareholders, employees, accountants, attorneys, agents, affiliates, subsidiaries, successors, and assignees from and against all claims, costs, proceedings, demands, losses, damages, expenses or liability including reasonable legal fees and expenses, arising out of or in connection with (i) any breach of these Vehicle Terms and Conditions by you; (ii) any third party complaints or claims brought against us in respect of vehicle ad and / or its content; (iii) any claim that the vehicle ad and / or its content infringes Intellectual Property Rights of any third party; (iv) any willful, unlawful or negligent act or omission by you; or (iv) other third party rights claim against us relating to the supposed sale of the vehicle by you including where you have failed to fulfil an accepted offer.

We make no express or implied warranty or representation to you that the Site shall be uninterrupted, have full functionality at all times, or be error-free. We shall not be liable for consequences resulting from any interruption of service, malfunction or error.

Any warranties, terms or conditions whether express or implied, statutory or otherwise, including without limitation, implied terms of satisfactory quality or fitness for purpose, are hereby expressly excluded fully permitted by law.

In no event shall we be liable for:

• Any loss or damage suffered by you arising out of the failure to publish vehicle ad or for amending, removing any specific vehicle ad content from our Site;

• Any loss or damage suffered by you arising out of your failure to keep safe and confidential all passwords, security identification and/or encryption details.

• Any incidental, consequential, indirect, statutory, special or exemplary damages, including but not limited to, lost profits, loss of use, loss of time, inconvenience, lost business opportunities, damage to good will or reputation and costs of cover regardless of whether such liability is based on breach of contract, tort, strict liability or otherwise and even if advised of the possibility of such damages.

The above does not limit our liability arising out of our negligence, fraudulent misrepresentation or any other liability which cannot be excluded or limited under applicable law.

To understand the basis on which any personal data, including but not limited to personally identifiable information, payment details and other information we collect from you and other sources or that you provide to us (“Personal Information”) will be processed in connection with your access and use of our Site please refer to our Privacy Policy.

Changes to Vehicle Terms & Conditions

We may in our absolute discretion modify these Vehicle Terms Conditions at any time so please review it frequently. Any changes we may make will be posted on the Site and shall be effective as of the day on which they are posted on the Site. Your continued use of the Site following any such change constitutes your agreement to these Vehicle Terms & Conditions as so modified.

Price Compare Service

One of the features of our Site is the price compare service, where we offer comparison of your vehicle against other used vehicles if there are at least 2 vehicles of the same specifications available on our Site.

If you wish to avail price compare service, you acknowledge and agree on the following:

• Price compare service is for personal use only;

• Information derived from price compare service is based on the vehicles available at any given time within our database and is provided to you for indication only and not as commercial advice to determine a price or sale of the vehicle;

• Information derived from price compare service is based on information supplied by private sellers only;

• Information derived from price compare service is based on the mean price returned by a search query and a reference to average in the price compare service is a reference to a mean;

• Price Compare Service may assign a position to your vehicle ad, which is confidential and intended for your own research purpose only and must not be disclosed to any person or used for marketing / promotional services;

• We do not represent or warrant that information provided to you through price compare is reliable, accurate or complete;

• We may at our absolute discretion add, remove, modify, suspend or discontinue price compare service.

While using the price compare service you MUST ensure that:

• You implement and maintain security procedures prevent unauthorized access,

• You update all hardware and software necessary to use the price compare services, and

• You assess the accuracy and reliability of any information obtained through the use of price compare service.

While using the price compare service you MUST NOT:

• Combine information derived from price compare service with any other information to create derivative products;

• Use, reproduce, modify or display information derived from price compare service;

• Redistribute Information derived from price compare service to any third party;

• Use any device or software that may interfere with price compare service, including but not limited to any automated scripting device or other device intended to replicate information.

If you supply Video Content (text, software, scripts, photos, sounds, music, videos, audiovisual combination and interactive features) for use on our Site, it must be related to the vehicle only and you must adhere to the following rules for uploading Video Content which is used as an additional material for the ad to sell your vehicle.

You MUST NOT supply any Video Content which contains:

• Misleading or false information;

• Any information that may reflect negatively on us;

• Any information that can be interpreted to be illegal, fraudulent, offensive, defamatory, or in any way unsuitable for minors;

• Any information that may infringe any rules and / or regulations and / or is not in compliance with the UAE laws;

• Any information that may the intellectual property rights of any third party.

• Any information intended for promotion of any products or services;

We may in our absolute discretion and without notice edit the Video Content in a way that we deem necessary, including but not limited to watermarking, data purification and augmentation or we may remove the Video Content altogether. Please further note that we shall not be liable for any error, misplacement, amendment, and/ or omission in relation to any Video Content.

In order to potential increase your vehicle ads visibility we offer featured ad placement where you may pay a non-refundable fee to have your vehicle ad posted in selected locations on the Site.

Featured ads placement shall only be accessible to those users who have purchased either standard or premium ad package on our Site and shall be subject to availability. While the featured ads placement may be purchased at any time, we make no guarantee that featured placement will be available for purchase for your vehicle ad at the desired time.

If you decide to purchase featured ads placement you acknowledge and agree on the following:

• Featured ads will rearrange your vehicle ad to the relevant position within the Site;

• Featured ads placement will appear on the first page of search results however may not be the first listing on the page;

• Appearance of featured ads placement may differ depending on the device the Site is accessed on;

• We make no representations or warranties to the expected number of views or the impact on the sale of the vehicle;

• We may at our absolute discretion add, remove, modify, suspend or discontinue the featured placement.
